Is a Corporate Vice President an Insider?

As you probably know, the term insider expressly includes officers at section 101, so your client will have the burden of showing that that the title was not truly indicative of his/her actual status. Would a former employee of a corporation who was a "vice president", but does not appear as an "officer" on any corporate documents be considered an insider for avoidance (preference) purposes?
Also, when are severance payments deemed "earned"...on the date of termination, or could it be another date--such as where monthly severance payments are made over time?
