Briefing re new value exception to absolute priority rule

I would greatly appreciate it if anybody would share their brief to come
under the new value exception to the absolute priority rule, especially
when new value would be provided out of exempt retirement funds. I had
gotten lucky so far not to have to address it, but need to file something
now. Thank you.
